General Terms and Conditions of Sale

1. General
   1. TELCAL S.r.l. complies with the UNI EN ISO 9001:2000 standard for Quality Management Systems.
   2. TELCAL S.r.l. components are designed for installation in lifts that comply with current and/or previous regulatory standards. Some components are accompanied by a Declaration of Conformity according to current regulations. Lift safety components are accompanied by a Declaration of Conformity in accordance with European Directive 95/16 Annex V, control procedure Annex XI and/or the Machine Directive 98/37 EC.
   3. A sales contract is deemed concluded upon our acceptance of the order.
   4. Unless otherwise agreed upon and confirmed in writing, every order by the Customer is subject, without reservation, to these terms and conditions of sale.
2. Offers
   1. Unless otherwise stated in writing, offers remain valid for sixty (60) days from the date of issuance.
3. Prices
   1. The reference prices are those indicated in our current price list. Prices may be adjusted by up to 5% without prior notice.
4. Orders
   1. Orders must be submitted in writing unless otherwise agreed. Any deviation from this rule does not establish a precedent and shall be entirely at the Customer’s risk.
   2. Order modifications or cancellations requested by the Customer may be accepted or rejected at our discretion, depending on the order's processing status.
5. Supplies
   1. Technical and dimensional specifications are provided for reference only. We may make changes to the products to improve their quality and functionality.
6. Minimum order size
   1. Orders below €150 will not be processed. For orders below this amount, a €15 administrative fee will apply.
7. Delivery lead times
   1. Delivery lead times are approximate and not guaranteed unless expressly agreed in writing.
   2. “Urgent” deliveries, i.e. deliveries in less than normal lead times, are only guaranteed to the best of the company's production capacity.
8. Packaging and Transport
   1. Delivered goods are properly packaged according to internal standard IL 15.01.
   2. Reels returned in good condition, with prepaid shipping, will be credited at their full value.
   3. The goods are normally returned free of charge to our warehouse or free of charge to the customer's warehouse with crediting of the transport costs on the invoice.
   4. The sender assumes all risks of loss, damage, or theft until the goods are delivered to the recipient. Upon receipt without reservations, ownership and liability transfer fully to the recipient.
9. Warranty
   1. The warranty period is twelve (12) months from the date of the delivery note. Defective parts will be repaired or replaced free of charge if returned to our factory in Merate.
   2. The warranty does not cover failures caused by improper use, negligence, unauthorised modifications, or tampering by the Customer or third parties.
   3. Parts subject to continuous wear and tear such as ropes, seals, sliding blocks, etc. are also excluded from warranty.
   4. Should repairs and/or replacements be required at your premises or at a third party's premises, and should the fault fall within the limits of the guarantee and should the work be carried out by our personnel, invoicing will be regulated as follows: both in Italy and abroad, neither the hours of work performed nor the material used will be charged, while the Customer will be invoiced for any idle waiting time.
10. Returns
    1. All product returns must be pre-authorised by us.
    2. Unless otherwise agreed in writing, the Customer shall bear all return shipping costs.
11. Payments
    1. Payment terms are established through individual agreements with each Customer.
12. Governing Law and Jurisdiction
    1. Any matters not expressly covered by these General Terms and Conditions of Sale shall be governed by the provisions of the Italian Civil Code.
    2. Any disputes arising from these General Terms and Conditions of Sale shall fall under the exclusive jurisdiction of the Court of Milan.
